Terms and Conditions

These terms govern your use of the eZage platform, including the marketplace and the business messaging services we provide through the WhatsApp Business Platform. By creating an account or using the service, you agree to them.

1. The service

eZage is operated by EZAGE TECHNOLOGIES PRIVATE LIMITED. The platform provides a marketplace connecting brands, creators and professionals, and a business messaging product that lets you send and receive WhatsApp messages with your own customers, manage message templates, run campaigns and access these features through our API.

We are a Meta Tech Provider. The WhatsApp Business Platform is operated by Meta, not by us. Your use of it is additionally subject to Meta's own terms and policies.

2. Eligibility and accounts

  • You must be at least 18 years old and able to enter into a binding contract.
  • You must give accurate registration information and keep it current.
  • You are responsible for keeping your password and API keys confidential, and for all activity under your account.
  • Tell us promptly at ez.ezage@gmail.com if you believe your account or API keys have been compromised.

3. Your obligations when messaging

This section is important. Breaching it can get your WhatsApp Business Account restricted by Meta, and can affect other customers on our platform, so we enforce it strictly.

  • You must obtain valid opt-in from every recipient before messaging them, and keep records of that consent.
  • You must honour opt-out requests immediately and must not message anyone who has opted out.
  • You must comply with the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and all applicable Meta terms.
  • You must not send spam, bulk unsolicited messages, or content that is unlawful, misleading, harassing, hateful or infringing.
  • You must not use the service for phishing, impersonation, or to promote goods and services prohibited by Meta.
  • You are solely responsible for the content of the messages you send and for having the right to contact the people you message.
  • You must comply with applicable data protection law, including the Digital Personal Data Protection Act, 2023, in respect of the contact data you upload.

4. Acceptable use of the platform

  • Do not attempt to gain unauthorised access to the platform, other accounts or other workspaces.
  • Do not probe, scan or test the vulnerability of our systems without our written permission.
  • Do not circumvent rate limits, quotas or usage metering.
  • Do not resell or sublicense access to the platform without a written agreement with us.
  • Do not use automated means to scrape the platform beyond what our API permits.

5. Fees, billing and message charges

  • Subscription fees for the platform are billed in advance according to the plan you select and are non-refundable except where required by law.
  • Charges levied by Meta for WhatsApp message delivery are separate from our fees. Where you have attached your own payment method to your WhatsApp Business Account, Meta bills you directly for those charges.
  • Where we bill you for message usage, our usage records are the basis for the invoice. Raise any dispute within 30 days of the invoice date.
  • Payments are processed by third-party gateways. We do not store your full card details.
  • We may suspend service for non-payment after giving you notice and a reasonable opportunity to pay.
  • All fees are exclusive of applicable taxes, which are added where required.

6. API use

API keys are issued per workspace and may be scoped and rate limited. We may change limits, deprecate endpoints or version the API. Where a change is breaking, we will give reasonable advance notice. You must not share your API keys with third parties or embed them in client-side code.

7. Your content and our platform

You keep ownership of the content, contact data and materials you upload or send. You grant us a limited licence to host, process and transmit that content solely to provide the service to you.

We keep ownership of the platform, our software, branding and documentation. Nothing in these terms transfers any of it to you.

8. Suspension and termination

  • You may stop using the service and close your account at any time.
  • We may suspend or terminate your access if you materially breach these terms, if your messaging puts our platform or other customers at risk, if Meta requires it, or if required by law.
  • Where circumstances allow, we will give notice and an opportunity to fix the problem first. Serious breaches, such as sending messages without consent, may result in immediate suspension.
  • On termination, your right to use the service ends. Deletion of your data is handled as described on our data deletion page.

9. Service availability

We work to keep the platform available, but we do not guarantee uninterrupted service. Message delivery depends on Meta's infrastructure, on recipient availability and on factors outside our control, and we cannot guarantee that any individual message will be delivered or that a template will be approved by Meta.

10. Disclaimers and limitation of liability

To the fullest extent permitted by law, the service is provided "as is" without warranties of any kind, express or implied.

We are not liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or data. Our total aggregate liability arising out of or relating to the service is limited to the amount you paid us in the three months immediately before the event giving rise to the claim. Nothing here limits liability that cannot be limited by law.

11. Indemnity

You agree to indemnify us against claims, damages and reasonable costs arising from your content, your messaging activity, your breach of these terms, or your violation of Meta's policies or applicable law.

12. Governing law

These terms are governed by the laws of India. The courts at Kolkata, West Bengal have exclusive jurisdiction over any dispute, subject to any mandatory rights you have as a consumer.

13. Changes to these terms

We may update these terms. If a change is material we will notify account holders by email or through the platform before it takes effect. Continuing to use the service after that means you accept the updated terms.
